Terms of Service

1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of Manifest, operated by Dawson Design Ltd. ("Company", "we", "us"). By accessing or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
2. Definitions
- Service — the Manifest application, API, and related documentation at manifestdocs.ai
- User — any individual who accesses or uses the Service
- Content — any data, text, or materials uploaded to or generated within the Service
- Customer Data — feature specifications, project data, session history, and other content you create within the Service
- Account — your registered Manifest account
3. The Service
Manifest provides living documentation for feature-driven product engineering. This includes feature tracking, implementation history, verification proof, API access, and related tooling. We may update, modify, or discontinue features of the Service at any time.
4. Accounts
- You must be at least 18 years old to use the Service.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- Each account is for a single person. Sharing account credentials is not permitted.
- You are responsible for all activity that occurs under your account.
5. Plans & Payment
The Service is available under the following plans:
- Free — up to 3 projects and 500 MB of storage, at no cost
- Cloud — $15 per user per month, billed monthly via Clerk
Paid plans renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. We will provide at least 30 days' notice before any price increase takes effect.
Free Tier
The free tier is provided at our discretion. We may modify the features, limitations, or availability of the free tier at any time without liability. The free tier does not include any service level agreement, uptime commitment, or dedicated support. We reserve the right to deactivate free accounts that have been inactive for more than 12 months, with 30 days' email notice before deletion. Certain features may be available only on paid plans.
6. Customer Data & Intellectual Property
You retain full ownership of your Customer Data. By using the Service, you grant us a limited license to store, process, and transmit your Customer Data solely for the purpose of operating and improving the Service.
We will never use your Customer Data to train AI or machine learning models.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose.
7. Acceptable Use
You agree not to:
- Abuse, disrupt, or overload the Service
- Scrape, crawl, or harvest data from the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service
- Upload illegal, harmful, or infringing content
- Interfere with the security or integrity of the Service
- Use the Service in violation of any applicable law
8. Third-Party Services
The Service integrates with third-party providers. Your use of these services is governed by their respective terms:
- Clerk — authentication, identity management, and payment processing
- Cloudflare — infrastructure, hosting, and content delivery
9. API Terms
Programmatic access via the Manifest API is subject to these Terms. API usage is rate-limited to 1,000 requests per minute per account. API keys are your responsibility; treat them as confidential credentials. We may suspend API access for excessive or abusive usage.
10. Service Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where practical. Enterprise SLA agreements may be offered separately.
11. Suspension & Termination
We may suspend or terminate your access if you violate these Terms or if required by law. You may cancel your account at any time. Upon account deletion, your Customer Data will be removed within 30 days. Backups are purged within 90 days of deletion.
12. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.
14. Indemnification
You agree to indemnify and hold harmless Dawson Design Ltd., its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
15. Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved by mandatory binding arbitration under the rules of the American Arbitration Association (AAA), conducted in San Francisco, California.
You agree to waive any right to participate in a class action or class-wide arbitration. Claims that qualify for small claims court may be brought there instead.
16. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. General
- Governing law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- Entire agreement: These Terms constitute the entire agreement between you and the Company regarding the Service.
- No waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
